A Central Securities Depository (CSD) is a financial institution that specialises in holding securities such as shares and bonds. Securities are held in either physical certificates or in an uncertificated format, that is, dematerialised form. Some CSDs may deposit, only certain types of securities, such as shares only.
A CSD can operate nationally or internationally. Many countries have one domestic CSD traditionally associated with the National Stock Exchange. An international CSD can also settle trades for international securities such as Eurobonds. They provide services to various participants such as clearing members, stock exchanges, banks and issuers of securities.
Traditionally, CSDs are used to hold securities in physical certificates. The modern approach is to dematerialise them and store securities in uncertificated form. Some of the benefits of this modern approach are ownership can be easily transferred through book-keeping rather than the transfer of physical certificates. It is much faster and easier than the traditional method where physical certificates had to be exchanged after trades had been completed.
Apart from holding securities of investors, CSDs provide services such as Dematerialisation
and rematerialisation, that is converting physical certificates to uncertificated form and vice versa. Deposit and withdrawal of securities. Inter-depository transfer, that is the transfer of
security from one CSD to another. Distribution of non-cash corporate actions such as bonus issue, rights issue and proxy voting. Nomination for a security investor. They also provide pledging of shares and securities.
Almost every major financial market would have a CSD in their respective geography. Some of them are Central Depository Services Limited and National Securities Depository Limited in India, Depository Trust Company in the USA, CREST in the UK and so on as shown on the screen.
